a) The party of the second part would prepare a legal report regarding the status of the property with regard to its ownership, being free from litigation, and non-encumbrance certificate in the first phase. If the second party so desires, it may, in exchange for payment of the necessary fees, assign the task of having the aforementioned legal work done to the first party.
b) The first part's party shall then move on to the project's basic planning, layout, and designing.
c) That the party of the first part would set up meetings with potential client.
d)The party of the first part shall arrange for the client site visit for site approval.
e) The party of the first part shall prepare location reports, feasibility reports, etc.
f) The party of the first part will recommend an appropriate architect to the second-party party and may go so far as to hire them at the expense of the second-party party.
That in the second phase of the work to be accomplished, the parties shall:-
a) The party of the First Part shall get the Basic Plan/ Layout submitted to the Potential/ Desired clients/ MNC/ Brands etc and make all endeavors to get the same approved for further work.
b) The party of the First part shall coordinate with the designated Architect and get prepared the Site Drawings and work to get the same cleared/approved from the Potential Clients/MNC etc.
c) The party of the Second part shall thereafter on receipt of approval(s) immediately proceed to apply for and get the necessary government approvals qua the project including sanction of construction/ Site plan, Layout plan, No objection from the Pollution Board, Electricity Department, Environment Board, Police, Municipal Corporation, etc.
d) That The party of the first part would further assist the party of the second part in negotiations with the clients and assist in the execution of the Letter of Intent.
In the third and final phase of the work to be accomplished:-
a) The party of the first part shall assist the party of the second part in negotiations of and in the execution of the Memorandum of Understanding.
b) That after the execution of the MOU/ Agreement with the client, the party of the second part shall be obligated to initiate the construction as per the MOU/ Agreement, etc.
c) That the party of the second part shall ensure that the construction is done in the time frame. The party of the first part shall overlook the construction progress and guide for work to be completed in time and on schedule.
d) Marketing/ Advertising
The party of the first part shall assist the party of the second part in proper advertising/ business promotion of the proposed project and its leasing/ sale by the medium of print/ electronic/ physical and online advertisement and promotion.
The party of the first part shall make all the promotional arrangements for the success of the project and further engage any specialized or expert marketing agencies for the said purpose.
e) Hospitality Management Company
The party of the first part shall assist the party of the second part in hiring/ engaging the suitable Hospitality Management Company as per the requirements. The endeavor would be to provide and equip the party of the second part in arranging resources for optimizing costs, project management, and leading to the commercial success of the venture of the party of the second part.
